Signing a contract with a UHPC manufacturer that clearly defines rights and responsibilities and is complete in content is the legal safeguard for smooth project execution. A contract should not merely be an agreement on price and quantity; it should serve as a detailed blueprint covering technical standards, quality requirements, the responsibilities of both parties, and performance guarantees. Based on years of experience, Qinglong Group recommends that clients clearly specify the following six core clauses in the contract to avoid potential risks.
First, the technical specifications and quality standards clause. This is the core of the contract. Do not simply state "in compliance with national standards"; instead, attach a detailed Technical Specification that clearly lists all key performance indicators, such as: compressive strength, flexural strength, elastic modulus, chloride ion diffusion coefficient, color code (with color swatches provided), gloss level, surface treatment process, dimensional tolerances (permissible deviations for length, width, thickness, flatness, edge straightness, etc.), as well as the material, specifications, and positional accuracy of embedded parts/connectors. It should also be stipulated that the sealed samples from both parties and the approved drawings serve as the basis for acceptance.
Second, the price, payment, and delivery clause. The price should clearly state whether it is a tax-inclusive delivered price, with an itemized breakdown (such as material costs, mold costs, processing fees, transportation fees, installation guidance fees, etc.). Payment terms should be linked to production milestones, for example: 30% upon contract signing, 30% upon arrival of main materials, 30% upon delivery of all goods to the site, and the remaining 10% after successful acceptance. The delivery clause must specify the delivery location, timing, batches, and receiving acceptance procedures. The method for adjusting responsibilities and costs arising from changes or delays caused by the client should also be clearly stated.
Third, the intellectual property and confidentiality clause. Clearly define the ownership of design drawings and molds. Generally, the intellectual property of drawings provided by the client belongs to the client, while ownership of molds made by the manufacturer for the project can be stipulated in the contract (for example, after the client has paid the full mold fee, the mold ownership belongs to the client, with the manufacturer keeping it on file for repeat orders). Both parties shall bear confidentiality obligations regarding the other party's business information and technical materials learned during the cooperation.
Fourth, the packaging, transportation, and insurance clause. Specify the packaging method (such as wooden crates or steel frames), the party responsible for transportation, and the point at which risk of the goods transfers (such as "delivery to carrier" or "arrival at the construction site"). The manufacturer must be required to purchase cargo transportation insurance, and the handling procedure for damage occurring in transit should be agreed upon.
Fifth, the acceptance, warranty, and after-sales service clause. Clarify the procedures, methods, and objection period for on-site acceptance. The warranty period is typically 2-5 years, and the warranty scope (such as material defects and manufacturing process issues), response time, and problem-handling methods must be specified. Clarify the technical documentation the manufacturer must provide, such as product certificates, test reports, and installation guidance manuals.
Sixth, the breach of contract liability and dispute resolution clause. Set out the calculation method for liquidated damages in cases of delayed delivery, delayed payment, or substandard quality by either party. Agree on the methods for resolving contract disputes, such as negotiation, arbitration, or litigation, as well as the location of the court with jurisdiction. A well-crafted contract is the beginning of a pleasant cooperation. Qinglong Group is happy to provide a standard contract template and negotiate the details with clients based on the principle of fairness, jointly building a clear and honest foundation for cooperation.
