Signing a contract with a UHPC manufacturer is key to protecting project rights and interests. Core clauses covering product quality, delivery schedules, price settlement, and after-sales service must be clearly defined to avoid later disputes and risks. Drawing on years of contract management experience, Qinglong analyzes the essential core clauses and standardization points.

1. Product Quality and Standards Clauses

Quality clauses are the core of the contract and must specify concrete standards and testing requirements. Agree on the product standards to be applied, such as national or industry standards like Ultra-High Performance Concrete (UHPC) Exterior Wall Panels, and define core performance parameters such as compressive strength, flexural strength, and durability; agree on quality inspection methods, including the proportion and procedures of factory inspection, third-party testing, and on-site sampling, as well as who bears the testing costs; specify how non-conforming products will be handled, such as return, rework, or replacement, along with rework timelines and liability for losses; add a sample confirmation clause, using samples confirmed by both parties as the baseline for quality acceptance to avoid later quality disputes. Qinglong's contracts explicitly require sealed sample retention to ensure consistent quality standards.

2. Delivery and Logistics Clauses

Delivery clauses must clearly define timing, location, and allocation of responsibilities. Specify the delivery period, including exact delivery start and end dates and liability for late delivery, such as liquidated damages of 0.1% of the contract amount per day of delay; determine the delivery location and method, such as delivery to the construction site or pickup from the manufacturer's warehouse, and clarify transport responsibilities and cost allocation—for long-distance transport, agree on a loss rate (usually ≤0.5%) and who bears the losses; agree on the acceptance process, including quantity counting, appearance inspection, and dimension verification; sign a confirmation form after passing acceptance and set a deadline for raising objections (usually within 7 working days).

3. Price and Settlement Clauses

Price and settlement clauses must precisely guard against financial risks. Clarify the composition of the total contract price or unit price, covering raw materials, production, processing, transportation, and other costs, and list the pre-tax price and tax rate; agree on settlement methods and milestones, such as advance payment (usually 30%-50%), progress payments (paid according to production progress), and final payment (paid after passing acceptance, with a 5%-10% quality guarantee retention); define a price adjustment mechanism, such as adjustments when raw material prices fluctuate by more than ±10%, to avoid disputes caused by market fluctuations; agree on the timing and type of invoice issuance to ensure financial compliance.

4. After-Sales Service and Breach of Contract Liability Clauses

After-sales and breach clauses protect rights and interests throughout the entire project lifecycle. Clarify the scope of after-sales service, including installation technical guidance and repair or replacement within the warranty period; the warranty period is usually no less than 5 years, and the fault response time during the warranty (e.g., within 24 hours) should be agreed upon; define breach liabilities for both parties—for example, the manufacturer bears rework costs and schedule losses for substandard product quality, while Party A pays late-payment penalties for overdue payments; add a dispute resolution clause specifying how disputes will be handled if negotiation fails, such as filing a lawsuit with the court where the manufacturer is located or submitting to a designated arbitration commission for arbitration, ensuring efficient dispute resolution.
